Rebel supported its client by conducting a detailed commercial due diligence for a potential shortsea container terminal acquisition, focusing on competitive positioning, operational performance, and strategic growth opportunities in the short sea container market. Northleaf Capital Partners was the successful bidder and acquired the asset in 2024.

The challenge

Rebel’s client sought to assess the viability of submitting a bid to acquire a shortsea container terminal in Moerdijk, an inland barge terminal in Moerdijk and Alphen aan de Rijn and a set of barges in the Netherlands. The challenge was to conduct a thorough commercial due diligence to evaluate the terminals’ and barge fleet’s market position, operational performance, and future growth potential, particularly in the highly competitive short sea and barging container market.

The approach

Rebel was engaged to lead the commercial due diligence process in two phases. In Phase I, the focus was on a comprehensive review of the container terminal’s competitive positioning, including an analysis of the short sea container terminal market dynamics, vessel utilization, and hinterland connectivity. The team assessed the logistical cost models, tariff structures, and potential risks related to the operations.

In Phase II,the analysis deepened with a commodity review, further refinement of forecast models, and a detailed examination of the hinterland and terminal barging operations. Strategic recommendations were provided on potential value-adding opportunities and M&A targets to enhance the terminal’s competitive edge.
